1. Introduction & Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Boro Neighbourhood, an Indian entity (“Boro”, “Platform”, “we”, “us”), and any individual who registers on, accesses, or uses the Boro website and mobile application (collectively, the “Platform”) (“User”, “you”). By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any other rules and guidelines referenced herein, in accordance with Section 10 of the Indian Contract Act, 1872.

If you do not agree with these Terms, you must not access or use the Platform. If you are using the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. Definitions

  • “Item” means any goods, equipment, appliance, or other movable property listed by a Lender for lending or rent on the Platform.
  • “Lender” means a User who lists an Item on the Platform for another User to rent or borrow.
  • “Renter” or “Borrower” means a User who books, rents, or borrows an Item listed by a Lender.
  • “Listing” means the description, photographs, rental price, deposit amount, and availability posted by a Lender for an Item.
  • “Rental Period” means the agreed duration for which an Item is rented or lent, as confirmed at the time of booking.
  • “Security Deposit” means the refundable amount (if any) collected from a Renter to secure the safe return of an Item.
  • “Transaction” means the agreement formed directly between a Lender and a Renter for the rental or lending of an Item through the Platform.

3. Nature of the Platform — Intermediary Status

Boro is a technology platform that enables Users in the same neighbourhood or locality to discover, list, and arrange the rental or lending of Items among themselves. Boro is an “intermediary” as defined under Section 2(1)(w) of the Information Technology Act, 2000 and operates in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

Boro is not a party to, and does not itself lend, rent, sell, or take possession of, any Item listed on the Platform. Every Transaction is a direct contract between the Lender and the Renter, governed by the general provisions of “bailment” under Sections 148 to 181 of the Indian Contract Act, 1872, under which the Lender (as bailor) delivers the Item to the Renter (as bailee) for a specific purpose and period, upon the completion of which the Item must be returned.

Boro does not guarantee the quality, safety, legality, functioning, or condition of any Item, nor the conduct, reliability, or creditworthiness of any Lender or Renter. Users deal with each other at their own discretion and risk.

4. Eligibility & Registration

  • You must be at least 18 years of age and competent to contract under Section 11 of the Indian Contract Act, 1872, to register on the Platform.
  • You must provide accurate, current, and complete information during registration, including a valid mobile number and government-issued identity proof for verification purposes, and keep this information updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • Boro reserves the right to suspend or terminate accounts that provide false information, fail verification, or violate these Terms.

5. Listing an Item (Lender Obligations)

A Lender listing an Item on the Platform represents and warrants that:

  • the Lender is the lawful owner of the Item, or has the owner's express authorisation to lend or rent it out;
  • the Item is accurately described, including its condition, any defects, and appropriate usage instructions;
  • the Item is safe for its intended use and does not violate any applicable law, including items that are hazardous, stolen, counterfeit, or restricted under Indian law;
  • the Lender holds any licence, permit, or registration required by law to lend or rent out the Item, where applicable (for example, certain electrical, medical, or motor equipment).
  • Boro does not inspect, verify, or certify Items listed on the Platform and bears no responsibility for the accuracy of a Listing. Lenders are solely liable for the accuracy of their Listings under Section 18 of the Indian Contract Act, 1872 (misrepresentation).

6. Booking & Rental Process

  • A Renter books an Item by selecting the Rental Period and confirming payment of the rental fee and, where applicable, the Security Deposit through the Platform's designated payment gateway.
  • A binding Transaction is formed directly between the Lender and the Renter upon confirmation of booking; Boro merely facilitates discovery, communication, and payment.
  • Both parties are encouraged to jointly inspect and photograph the Item at hand-over and at return, to record its condition and avoid disputes.
  • The Renter must return the Item in the same condition as received, ordinary wear and tear excepted, within the agreed Rental Period.

7.1 Platform Commission

Boro charges a commission of five percent (5%) of the rental amount on every completed order booked through the Platform (for example, on a rental priced at ₹100, Boro's commission is ₹5). This commission is Boro's fee for providing the discovery, booking, payment, and support infrastructure that enables the Transaction, and is separate from, and payable in addition to, any payment-gateway charges levied by Boro's payment partner.

  • Boro reserves the right to revise the commission percentage from time to time, with at least 15 days' prior notice to Users through the Platform, in accordance with Clause 21 (Amendment of Terms). Any revision will apply prospectively to new bookings only.
  • Applicable taxes (including GST) on the commission amount will be borne and remitted by Boro as required under the Central Goods and Services Tax Act, 2017; Lenders remain separately responsible for any tax obligations arising from their own rental income.

7.2 Collection & Settlement of Payments

All rental payments (and any Security Deposit) are collected by Boro from the Renter, through Boro's RBI-authorised payment gateway/payment aggregator partner, at the time of booking. Boro does not release funds to the Lender in advance of collecting them from the Renter, and does not act as a lender or creditor to either party in this process.

  • Once an order is marked complete (i.e., the Rental Period has ended and the Item has been returned without an unresolved dispute), Boro will remit the rental amount to the Lender's registered bank account/UPI ID, after deducting its 5% commission and applicable payment-gateway charges.
  • Payouts to Lenders will be processed within the timeline stated on the Platform (for example, T+2 to T+5 working days from order completion), subject to successful bank/UPI verification of the Lender's payout details.
  • Funds collected from Renters are held in a designated nodal/escrow account maintained in accordance with the Reserve Bank of India's guidelines on Payment Aggregators, pending settlement to the Lender; Boro does not commingle these funds with its own operating funds.
  • Where a Security Deposit is collected, it is held separately and released to the Renter after the Lender confirms safe return of the Item, subject to deduction for damage, loss, or late return as agreed between the Lender and Renter, and does not form part of Boro's commission calculation.
  • If a booking is cancelled or refunded in accordance with Clause 11 (Cancellation & Refund Policy) before completion, no commission is charged, and any amount already collected from the Renter will be refunded as per the applicable cancellation policy.
  • Illustrative example: For a ₹100 booking, the Renter pays ₹100 (plus any applicable payment-gateway convenience fee shown at checkout). On completion of the order, Boro deducts its ₹5 (5%) commission and remits the remaining ₹95 to the Lender.

8. Condition of Goods, Damage & Loss — Disclaimer of Liability

This clause addresses the risk of damage to, or loss of, Items — please read it carefully.

Boro does not take possession, custody, or control of any Item at any point and is therefore not a bailee under the Indian Contract Act, 1872. Responsibility for the care, safekeeping, and condition of an Item during the Rental Period rests entirely with the Renter in possession of it, and the risk of damage, loss, theft, or destruction of the Item during the Rental Period is borne by the Renter, save as otherwise agreed in writing between the Lender and Renter.

  • Boro shall not be liable for any damage to, loss of, theft of, or deterioration in the condition of any Item, whether occurring during transit, use, storage, or return.
  • Boro shall not be liable for any injury, illness, or property damage arising from the use, misuse, or malfunction of any Item.
  • Any dispute regarding damage or loss, including the value of compensation payable, is a matter to be resolved directly between the Lender and the Renter. Boro may, at its sole discretion and as a goodwill measure, assist by providing chat logs, photographs, or booking records available on the Platform, but is under no obligation to adjudicate, mediate, or compensate for such disputes.
  • Users are strongly encouraged to obtain appropriate insurance cover for high-value Items, and to use the Platform's optional damage-protection add-on (where available) at the time of booking.
  • Nothing in this clause excludes liability that cannot be excluded under applicable Indian law, including liability arising from Boro's own fraud, gross negligence, or wilful misconduct.

9. Prohibited Items & Prohibited Uses

The following categories of Items and uses are strictly prohibited on the Platform:

  • Firearms, ammunition, explosives, and weapons of any kind;
  • Narcotic drugs and psychotropic substances regulated under the NDPS Act, 1985;
  • Stolen property, counterfeit goods, or items infringing third-party intellectual property;
  • Items requiring statutory licences the Lender does not hold (e.g., certain medical devices, vehicles without valid registration/insurance);
  • Live animals, hazardous chemicals, or any item banned under Indian law;
  • Any use of the Platform for money laundering, fraud, or circumvention of these Terms.
  • Boro reserves the right to remove any Listing and suspend the relevant account, without prior notice, if it reasonably believes this clause has been violated, and to report unlawful listings to law enforcement authorities as required under the IT Rules, 2021.

10. User Conduct

  • Treat other Users, and their property, with respect and honesty.
  • Do not use the Platform to harass, defraud, or discriminate against any person.
  • Do not circumvent the Platform to avoid service fees once a Transaction has been initiated through Boro.
  • Do not post false, misleading, or defamatory Listings, reviews, or ratings.

11. Cancellation & Refund Policy

Cancellation timelines, applicable fees, and refund eligibility will be as displayed on the Platform at the time of booking, in accordance with the Consumer Protection (E-Commerce) Rules, 2020. Boro will clearly disclose cancellation charges, if any, before a Renter confirms a booking. Refunds of the Security Deposit, where applicable, will be processed after the Lender confirms the safe return of the Item, and any deduction proposed by the Lender will be shared with the Renter with reasons.

12. Limitation of Liability

To the maximum extent permitted under applicable law, Boro's aggregate liability to any User arising out of or relating to the use of the Platform shall not exceed the total service fee earned by Boro from the specific Transaction giving rise to the claim. Boro shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit, loss of data, or loss of goodwill, arising out of the use of the Platform or any Transaction between Users.

13. Indemnification

You agree to indemnify and hold harmless Boro, its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your Listing, use, or rental of an Item; (c) any Transaction between you and another User; or (d) your violation of any applicable law or third-party right.

14. Dispute Resolution

  • Disputes between a Lender and a Renter regarding a specific Transaction shall first be attempted to be resolved amicably between the parties, with Boro's customer support facilitating communication where possible.
  • Any dispute, controversy, or claim arising out of or relating to these Terms between a User and Boro, including its formation, interpretation, breach, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by Boro, seated in Bengaluru, Karnataka, and conducted in the English language.
  • Nothing in this clause prevents a User from approaching the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, where the User qualifies as a “consumer” under that Act.

15. Grievance Redressal Officer

In accordance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Boro has appointed a Grievance Officer to address complaints regarding the Platform. Complaints may be submitted through the “Help & Support” section of the Platform and will be acknowledged within 24 hours and resolved within 15 days, or such other timeline as prescribed by law.

16. Data Privacy

Boro collects and processes personal data (including identity proof, location, and payment information) in accordance with its Privacy Policy and the Digital Personal Data Protection Act, 2023. By using the Platform, you consent to such collection, use, and, where necessary, sharing of your data with the other party to a Transaction, payment partners, and verification agencies, solely for the purpose of operating the Platform.

17. Intellectual Property

The Boro name, logo, “Boro Neighbourhood” branding, and all content on the Platform (excluding User-generated Listings and photographs) are the exclusive property of Boro and are protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. Users retain ownership of content they upload but grant Boro a non-exclusive, royalty-free licence to display it on the Platform for the purpose of operating the service.

18. Term, Suspension & Termination

These Terms remain in effect for as long as you use the Platform. Boro may suspend or terminate your access, with or without notice, for violation of these Terms, suspected fraud, or repeated complaints from other Users. You may close your account at any time, subject to the completion of any pending Transactions.

19. Force Majeure

Boro shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, pandemics, strikes, government action, or internet/telecommunication failures.

20. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 14 (Dispute Resolution), the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter not covered by arbitration.

21. Amendment of Terms

Boro may revise these Terms from time to time to reflect changes in law, the Platform, or business practice. Material changes will be notified to Users through the Platform or via email at least 15 days in advance, and continued use of the Platform after such notice constitutes acceptance of the revised Terms.

22. Miscellaneous

  • Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: No failure or delay by Boro in exercising any right under these Terms shall operate as a waiver of that right.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Boro regarding use of the Platform.
  • Notices: All legal notices to Boro shall be sent in writing to the registered office address published on the Platform.
